RAMen End User License Agreement
Version 1.0, effective 6 November 2026. RAMen is made by NEOTECH Inc., a Delaware corporation ("NEOTECH", "we").
By installing or using RAMen you agree to this agreement. If you use RAMen for a company, you agree for that company and confirm you may do so.
1. What you may do
We grant you a non-exclusive, non-transferable license to install and use RAMen, as follows:
- Free plan: any number of your own computers, for personal or business use, with the features the free plan includes (session memory for your most recent conversations, one at a time).
- Trial: every feature for 14 days from the first start on a computer.
- Pro: one person, on up to 3 computers at a time, with every feature except team server mode. A lifetime Pro license is the same, with no end date.
- Team: Pro for each person you pay a seat for. A seat may be moved to another person.
- Server: one server per license, serving the people you give API keys to, with every feature including team server mode.
- Enterprise: as set out in your order form, which takes precedence over this agreement where they differ.
2. What you may not do
- Share, sell, rent or sublicense RAMen or a license key, or let more people or computers use a license than it covers.
- Remove or work around the license checks, or change RAMen to unlock features your plan does not include.
- Reverse engineer, decompile or disassemble RAMen, except where the law allows it despite this restriction.
- Use RAMen to break the law or the rights of others.
3. Other software and models
- RAMen includes llama.cpp, used under the MIT license. Its license is included with RAMen (LICENSE-llama.cpp.txt) and applies to that part.
- AI models are not part of RAMen. Models that RAMen downloads for you come from their makers (for example on Hugging Face) under their own licenses, which you must follow. You are responsible for how you use a model and what it produces.
4. Your data
RAMen runs on your computers. Your prompts, files and conversations stay there. To check a paid license, RAMen sends the license key, our store's identifier and an anonymous machine label (the platform and a short code derived from the machine, never its name) to our store provider, Polar. See the Privacy Policy.
5. Payments, renewals and refunds
Purchases are made through Polar, which acts as the reseller and handles payment and sales tax. Subscriptions renew until cancelled; you can cancel any time from the customer portal (https://polar.sh/ramen/portal) and keep access until the end of the period you paid for. Refunds follow the Refund Policy. If a paid license ends, RAMen continues on the free plan.
6. Updates
We may provide updates. Updates are covered by this agreement unless they come with a new one.
7. Ending this agreement
You may stop using RAMen at any time. We may end your license if you break this agreement. When it ends you must stop using the paid features; the free plan remains available under these terms unless we ended your license for a breach.
8. No warranty
RAMen is provided "as is", without warranties of any kind, including fitness for a particular purpose and non-infringement, to the extent the law allows. AI models can produce wrong or harmful output; check what matters.
9. Limit of liability
To the extent the law allows, NEOTECH is not liable for indirect, incidental, special or consequential damages, or for lost data, profits or revenue. Our total liability is limited to the amount you paid for RAMen in the 12 months before the claim.
10. Law
This agreement is governed by the laws of the State of Delaware, USA, without regard to conflict of law rules, unless the law where you live requires otherwise.
